Mr. Daniels acts as general, corporate, tax and securities counsel for all types of businesses, including those organized as corporations, partnerships (limited and general), limited liability companies and other legal entities. In addition, he acts as legal counsel for directors, managers, shareholders, partners, members or other owners of those businesses, regardless of how organized.
As securities counsel, Mr. Daniels primarily represents all types of businesses and ventures, including start-up and existing companies, businesses and business ventures (regardless of how organized) and whether constituting service, entertainment, manufacturing or real estate (including hotel or other commercial real estate development or operating) companies, in the private offer and sale of equity or debt securities in capital raising transactions. Mr. Daniels also advises and represents individuals with respect to the purchase and sale of securities in all types of companies or businesses, including privately and publicly traded companies.
Mr. Daniels specializes in federal income taxation of partnerships, corporations and real estate transactions; and has extensive experience in business contract analysis, review, preparation and negotiation with regard to all types of business and business related ventures and transactions, including analysis, review, preparation and negotiation of merger and acquisition, joint venture, partnership, operating, shareholder, management, personal service, employment, independent contractor and franchise agreements (where Mr. Daniels focuses on representing franchisees).
Mr. Daniels has extensive experience in federal and state health care laws, including state and federal anti-kickback and anti-referral laws applicable to physicians/hospitals and other health care providers, as well as provider licensing and corporate, tax, securities and federal and state regulatory matters relevant to health care providers, and represents primarily physicians, physician groups and other non-institutional health care companies and businesses in matters relating thereto and in a myriad of other business and business-related matters or transactions, including practice formation, operations, mergers and sales, negotiation and preparation of practice management and professional personal service agreements, the structure and documentation of provider "under arrangements," and the structure, negotiation, formation, operation and sale of ancillary joint ventures (including diagnostic imaging centers, ambulatory surgery centers and cardiac catheterization labs). He also has extensive experience in the negotiation and documentation of equipment and related real property leasing arrangements between health care providers or other referral sources in full compliance with federal and state health care laws.
Mr. Daniels is a member of Dean Mead's Corporate-Tax Department and currently heads Dean Mead's Securities Law Department and serves as co-chair of its Health Law Department.
